Luna Imaginative ("we," "us," "our") is a marketing and consulting agency providing services including SEO, paid media, social media management, creative design, and strategic consulting. We serve clients operating in Thailand, the United States, the United Kingdom, and France.

2. Scope of Services
Our services are provided to both businesses (B2B) and individuals (B2C). The specific scope of services, deliverables, timelines, and fees are outlined in individual service agreements or proposals agreed upon prior to engagement.
2.1 Service Delivery
We will use commercially reasonable efforts to deliver services as described in any applicable proposal or statement of work. Timelines are estimates and may vary based on factors including client responsiveness and market conditions.
2.2 Client Responsibilities
Clients agree to provide timely access to required information, accounts, and assets necessary for service delivery. Delays caused by the client may affect delivery timelines and do not constitute a breach by Luna Imaginative.
3. Intellectual Property
Upon full payment of applicable fees, Luna Imaginative transfers to the client ownership of the final deliverables specifically created for that client under the engagement.
Luna Imaginative retains all rights to its proprietary methodologies, frameworks, templates, tools, and pre-existing intellectual property. Any third-party tools or platforms used in delivering services remain subject to their respective licenses.
4. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement and not to disclose such information to third parties without prior written consent, except as required by applicable law.
5. Payment Terms
Payment terms are specified in individual service agreements. Unless otherwise agreed:
- Invoices are due within 30 days of issuance.
- Late payments may incur interest at the applicable statutory rate.
- Services may be suspended for accounts more than 60 days overdue.
6. Limitation of Liability
To the maximum extent permitted by applicable law, Luna Imaginative shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services, including loss of revenue, data, or business opportunities.
Our total cumulative liability for any claims arising from a service engagement shall not exceed the total fees paid by the client in the three months preceding the claim.
7. Warranties and Disclaimers
Luna Imaginative represents that services will be performed with reasonable skill and care. However, we do not guarantee specific results such as particular search rankings, conversion rates, or revenue figures, as these depend on factors outside our control.
Our website and its content are provided on an "as is" basis without warranties of any kind.
8. Termination
Either party may terminate an ongoing service engagement with 30 days written notice. The client is responsible for fees incurred up to the termination date. Luna Imaginative may terminate immediately for material breach, including non-payment.
9. Governing Law and Jurisdiction
These terms are governed by French law to the extent applicable to our operations. For matters arising in Thailand, UK, or USA, the applicable local commercial law shall govern.
Disputes shall first be attempted to be resolved through good-faith negotiation before proceeding to formal legal action.
10. GDPR and Data Protection
To the extent we process personal data, we comply with the General Data Protection Regulation (GDPR) (EU) 2016/679 and applicable national data protection laws. Please see our Privacy Policy for full details on how we collect and process personal data.
11. Changes to These Terms
We reserve the right to update these Terms & Conditions. Material changes will be communicated via our website. Continued use of our services after changes constitutes acceptance of the updated terms.
